CIS Software Terms of Service

These Terms of Service govern the use of CIS Software, a cloud-based quality management system developed by TQMS Inc. for ISO-driven organizations.

Company: TQMS Inc. (“TQMS”, “we”, “us”, or “our”)


1. Overview

These Terms of Service (“Terms”) govern access to and use of CIS Software, a web-based quality management system provided by TQMS Inc.

By accessing or using CIS Software, you (“Customer”, “you”, or “your”) agree to be bound by these Terms.


2. Nature of the Service

CIS Software is a cloud-based (SaaS) platform that enables organizations to manage quality processes including inspections, audits, corrective actions, documentation, and related activities.

The software is licensed, not sold. TQMS grants you a limited, non-exclusive, non-transferable right to use the system during your subscription period.


3. User Accounts and Access

You are responsible for:

  • Maintaining the confidentiality of login credentials
  • Managing user access within your organization
  • All activities conducted under your accounts

You agree to notify TQMS immediately of any unauthorized use.


4. Acceptable Use

You agree not to:

  • Attempt to gain unauthorized access to the system
  • Interfere with system performance or security
  • Use the software for unlawful purposes
  • Reverse engineer or attempt to extract source code

5. Customer Data

You retain full ownership of all data entered into CIS Software.

You are responsible for:

  • The accuracy, integrity, and legality of your data
  • Ensuring compliance with applicable regulations and standards

TQMS will not access your data except:

  • To provide support
  • To maintain and improve the service
  • As required by law

6. Customer Configuration and Customization Responsibility

CIS Software provides extensive configuration and customization capabilities that allow Customers to modify workflows, data structures, forms, fields, reports, and system behavior to meet their specific operational requirements.

You acknowledge and agree that:

  • You are solely responsible for all configurations, customizations, modifications, and system design decisions made within your CIS environment
  • Any changes made by you or your authorized users may affect system performance, data integrity, compliance outcomes, and reporting accuracy
  • TQMS Inc. does not review, validate, or approve customer-configured workflows, forms, or processes unless explicitly agreed in writing as part of a separate consulting or support engagement

TQMS Inc. shall not be liable for any issues, errors, nonconformities, audit findings, data loss, or business impacts arising from:

  • Customer-defined configurations or customizations
  • Changes made to system fields, logic, workflows, or structure
  • Improper use or interpretation of system outputs

Customers are responsible for validating that their configured use of CIS Software meets their internal requirements, regulatory obligations, and applicable standards, including ISO requirements.

Any assistance provided by TQMS Inc. regarding configuration or customization is provided as guidance only and does not transfer responsibility for system design or compliance to TQMS Inc.


7. Data Backup and Retention

TQMS performs regular system backups for operational recovery purposes.

However:

  • Customers are responsible for maintaining their own backups
  • TQMS does not guarantee long-term data retention beyond operational requirements

8. Security

TQMS implements commercially reasonable safeguards to protect data, including:

  • Secure hosting environments
  • Encrypted data transmission (HTTPS)
  • Controlled access to systems

No system can be guaranteed to be 100% secure, and you acknowledge this inherent risk.


9. AI-Assisted Features

CIS Software may include AI-assisted tools (including integrations with third-party AI providers).

You acknowledge that:

  • AI-generated outputs are suggestions only
  • They may not be accurate or complete
  • You are solely responsible for reviewing and validating all outputs before use

TQMS is not responsible for decisions made based on AI-generated content.


10. Fees and Payment

Access to CIS Software is provided on a subscription basis.

You agree to:

  • Pay all applicable fees as agreed
  • Maintain current payment information

Failure to pay may result in suspension or termination of access.


11. Service Availability

TQMS aims to provide reliable access to CIS Software but does not guarantee uninterrupted service.

We may:

  • Perform maintenance
  • Update or modify features
  • Temporarily suspend access if necessary

12. Termination

TQMS may suspend or terminate access if:

  • These Terms are violated
  • Payment obligations are not met

Upon termination:

  • Your access will be revoked
  • You are responsible for exporting your data prior to termination

13. Intellectual Property

All rights, title, and interest in CIS Software remain the exclusive property of TQMS Inc.

You may not copy, modify, distribute, or create derivative works from the software.


14. Disclaimer of Warranties

CIS Software is provided “as is” and “as available.”

TQMS makes no warranties, express or implied, including:

  • Fitness for a particular purpose
  • Merchantability
  • Non-infringement

15. Limitation of Liability

To the maximum extent permitted by law, TQMS Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

The total aggregate liability of TQMS Inc. shall not exceed the total fees paid by the Customer for CIS Software in the twelve (12) months preceding the event giving rise to the claim.


16. Indemnification

You agree to indemnify and hold harmless TQMS Inc. from any claims arising from:

  • Your use of CIS Software
  • Your data, configurations, or content
  • Your violation of applicable laws or these Terms

17. Governing Law

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein.


18. Changes to These Terms

TQMS may update these Terms from time to time.

Continued use of CIS Software after changes constitutes acceptance of the updated Terms.


19. Entire Agreement

These Terms constitute the entire agreement between you and TQMS Inc. regarding the use of CIS Software.
